General Terms and Conditions

FUSE TERMS AND CONDITIONS OF MEMBERSHIP

I, (hereinafter “I,” “Me,” or “Member”), agree that the Services provided to Me by FUSE Community Work Hub and/or SCREDO (hereinafter “FUSE”)—said Services including but not limited to access to office space, work stations, Internet access, office equipment, meeting space, knowledge resources, and other services as FUSE may provide from time to time (hereinafter, “FUSE Services”)—are at all times subject to the following Terms and Conditions of Membership.

LIMITED RIGHTS TO USE OF SERVICES

1.1. I understand that my Membership does not constitute a lease or sublease but is only a license to use FUSE Services on a monthly or casual basis.

1.2. I understand that Membership is a privilege that may be revoked at FUSE’s discretion. If my Membership is revoked, I understand that FUSE will return my Membership dues for the remaining period of Membership (prorated accordingly), and I agree to forfeit my Membership, access, and any other evidence of Membership.

1.3. I understand that all amenities provided by FUSE, including but not limited to opening hours, hours of use, availability of a particular working area, use of the printer, or availability of the Internet are subject to change.

1.4. I understand that my use of FUSE Services may on occasion be disrupted. This may include, but is not limited to: (i) the offering of events or Services on the premises that are not included in the standard Membership and that may require additional fees to attend or use, and (ii) the need to move to another work area and under rare circumstances to vacate the premises entirely.

1.5. I understand that FUSE will do its best to announce to the Member community in advance of any known changes or disruptions to Member access to Services provided by FUSE.

1.6. I understand that if I book a meeting room I am welcome to have non-Members join me in the meeting room during my allotted time, and that casual guests who are not working in the space are welcome for 1 hour per guest per day. I agree not to abuse this policy, and understand that guests who work in the FUSE Community Work Hub for longer than 1 hour will be required to purchase a FUSE Day Pass.

1.7. I understand that I am required to adhere to all current Public Health precautions at all times while using FUSE Community Work Hubs, including, but not restricted to: masking as/if required and as requested; staying home when sick; physical distancing; frequent hand washing; and sanitizing hot-desks and other public areas after use.

TERMS OF PAYMENT

2.1. Monthly Memberships must be paid at minimum in monthly instalments, with the first instalment being made prior to the commencement of Membership.

2.2. Monthly Memberships are automatically invoiced on the first day of the month, in advance based on their Membership option. Also included are any variable charges such as paper, office supplies, printing or photocopying and the booking of any space that may have been incurred during the previous period. Payment is required at the beginning of the month for that period, at the date specified in the invoice.

2.3. Monthly Memberships do not require a fixed-term commitment; however, Monthly Memberships will be automatically renewed, on the first day of each month, until cancellation is requested by the Member. Membership cancellation requests must be received by FUSE Management a minimum of 7 days prior to the next invoicing period.

2.4. Payment for casual usage of hot-desks, meeting rooms or other FUSE Services is paid on or prior to the day of use unless other arrangements have been made with FUSE Management.

2.5. Payments received more than five (5) days after their due date will be charged a late fee of $10 and the Member—owing such payments for Membership or late fees—may be denied use of Services until such time as said payments are up to date. For each additional week that payments for Membership or late fees have not been received an additional $10 late fee will be assessed.

RESPECT FOR COMMUNITY INTERESTS

3.1. I understand that FUSE has been created for the benefit of the entire community of Members and that my own Membership should not interfere with the interests of the community as a whole.

3.2. I understand that no Member, including myself, has rights to permanent use of any given space except under agreement with FUSE Management.

3.3. I agree not to maintain or store any inventory of goods in common areas of the premises that have not been expressly designed for such purpose and that I must make arrangements for the storage of such goods with FUSE Management.

3.4. I understand that I must clean up after myself and my guests. FUSE operates with a strict "pack in, pack out" policy–nothing is to be left behind. That includes garbage, organic waste and recycling.

3.5. I understand that I must receive permission from FUSE to post signs, host events, or otherwise use FUSE Services in ways that may impose on the interests of the Membership community.

3.6. I agree not to act in a manner that in FUSE’s sole discretion does or is likely to adversely affect the peaceful operation or enjoyment of FUSE Services, the building in which the Services are provided, or the building’s occupants, guests, or contractors.

3.7. I agree to refrain from abusive, discriminatory, harassing, intimidating or derogatory behaviour and speech towards staff, guests, and other coworking users. I understand that breach of this will not be tolerated under any circumstances and will result in immediate termination of my membership.

3.8. I understand that my use of the FUSE is limited to between the hours of 7:00AM and 7:00PM, unless arrangements have been made with FUSE Management for after hours use of FUSE facilities.

3.9. I agree that, if I have a Permanent Desk Assignment, I am responsible for keeping my work area tidy and clean at all times and especially when I am leaving the space for a period of more than one hour. This includes my desk, other furnishings, wall space, and floor space that has been assigned to me.

3.10. I agree that, if I have a Permanent Desk Assignment that has been terminated for any reason, I will remove all of my furniture and belongings and make repairs, where required, to the wall space or floor space that had been assigned to me.

3.11. I agree to contribute to a low-volume workspace, be mindful of those around me and treat all staff, guests, and other coworking users with respect. Our goal at FUSE is to have a safe, productive, and friendly workspace.

3.12. I agree that if I host a meeting, training session, or have guests at FUSE for any reason, I will greet my guests in the reception area and quietly escort them to my desk or the meeting room.

NO ILLEGAL OR OTHERWISE OBJECTIONABLE ACTIVITY

4.1. I agree not to engage in any illegal activity while using FUSE Services, including but not limited to drug use or illegal online activity.

4.2. I agree not to engage in any online or business activity of the sort that may damage or impair the functioning of FUSE Services, including but not limited to overburdening or impairing any servers or networks connected to FUSE.

4.3. I further agree not to engage in any online or business activities of a questionable moral character that may damage or otherwise adversely affect the benefits of Membership, FUSE’s reputation, or the reputation of FUSE Members, including but not limited to using FUSE Services in connection with downloading or using trademarked or copyrighted material without permission, pyramid schemes, solicitation of any kind, spam, identity theft, defaming or harassing others, or uploading or downloading profane or indecent material. In cases where a judgment call remains to be made, such judgments will be made at the sole discretion of FUSE.

4.4. I agree that I will not disclose private information or documents that I come across in the shared workspace, and will immediately report such information or documents to FUSE Management.

4.5. I understand that there shall be no smoking of any kind on the premises, including the FUSE office space, in front of the office, and the parking lot, in accordance with the Province of British Columbia Bylaws.

4.6. I understand that pets of any kind shall not be permitted in the FUSE office unless approved in writing by FUSE management, and that such approval may be revoked at any time at the sole discretion of FUSE Management.

RENTAL OF FUSE SPACE

5.1. I understand that any door access provided to me is temporary, and that Kisi access is assigned to me to use only for a specific purpose and timeframe.

5.2. I understand that door access allows access to a shared space that contains valuable equipment and resources, and I agree to handle Kisi access responsibly.

5.3. I agree not to engage in any illegal activity while using the FUSE office, including but not limited to drug use or illegal online activity.

5.4. I understand that if I am having an event that involves liquor service, I will be responsible for acquiring appropriate licenses and supplementary insurance for such an event.

5.5. I agree not to engage in any online or business activity of the sort that may damage or impair the functioning of FUSE Services, including but not limited to overburdening or impairing any servers or networks connected to FUSE.

5.6. I understand that FUSE Members may come and go in the main office space unless a different agreement has been arranged with FUSE Management.

5.7. I will respect the honour system of booked time. Myself and my guests will vacate the property by the end of the booked time. I will book enough time to allow time for guests to leave, and to avoid overlap with someone who may have subsequently booked the space.

5.8. I understand that paper supplies, photocopying and printing at FUSE are pay-per-use and I will take full responsibility for recording and paying for any of these services used by me or my guests.

INDEMNIFICATION AND LIMITED LIABILITY

6.1. I understand that if someone or something while using FUSE Services gets hurt or damaged as a result of my negligence, then I am responsible to pay for that injury or damage if my insurance provider does not.

6.2. In no event shall FUSE, or its agents, employees, Members, shareholders, or guests be liable for any direct, special, incidental, indirect, punitive, consequential or other damages whatsoever, including but not limited to damages for: loss of profits, loss of confidential or other information, business interruption, personal injury, loss of privacy, failure to meet any duty, negligence, and any other pecuniary or other loss whatsoever, arising out of or in any way related to the participation in or inability to participate in or use of FUSE Services, the provision of or failure to provide Services, or otherwise under or in connection with any provision of this agreement.

6.3. I agree not to hold FUSE or its employees or agents responsible for the loss, theft, or damage of Members’ and/or guests personal belongings including but not limited to laptop computers, cell phones, clothing, backpacks, knapsacks, bags, purses, wallets, or books.

6.4. FUSE will carry Liability and Personal Property insurance for property belonging to FUSE for the provision of FUSE Services. As a Member, it is strongly suggested that you carry your own liability and personal property insurance policy to cover your own property and to protect yourself against damage to FUSE Services or other Members’ personal belongings.

DISCLAIMER OF WARRANTIES

To the maximum extent permitted by the applicable law, FUSE provides the Services “as is” and with all faults, and hereby disclaim with respect to the services all warranties and conditions, whether express, implied or statutory, including but not limited to: merchantability, fitness for a particular purpose, lack of viruses, accuracy or completeness of responses, results, workmanlike effort and lack of negligence. Also there is no warranty, duty or condition of title, quiet enjoyment, quiet possession, correspondence to description or non-infringement. The entire risk as to the quality, or arising out of participation in or the use of the services, remains with the Member.

SEVERABILITY

In the event that any provision or portion of these Terms and Conditions is determined to be invalid, illegal or unenforceable for any reason, in whole or in part, the remaining provisions of these Terms and Conditions shall be unaffected thereby and shall remain in full force and effect to the fullest extent permitted by applicable law.

OTHER PROVISIONS

9.1. I understand that FUSE reserves the right to update these Terms and Conditions of Membership at any time. I understand that FUSE will attempt to contact Members to notify them of any changes within thirty (30) days of their enactment, but I also understand that Members are ultimately responsible to periodically check the Terms and Conditions of Membership for any changes.

9.2.The rights and obligations not specified herein shall be governed by the laws of British Columbia. Any disputes shall be settled in compliance with British Columbia law.

ACCEPTANCE OF TERMS AND CONDITIONS

By signing any document that refers to FUSE Terms and Conditions, I represent that I have read these Terms and Conditions of Membership in their entirety, have been given the opportunity to ask questions and/or have these terms reviewed by legal counsel, and that I understand and agree to abide by the above Terms and Conditions of Membership, by any agreements or contracts that I have signed relating to use of FUSE resources, and by any other FUSE rules that may be posted within the FUSE office from time to time.
